By accessing or using the Kabuzz marketplace platform ("Platform"), including the Kabuzz website at kabuzz.com, the Kabuzz API, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.
"Kabuzz," "we," "us," and "our" refer to Kabuzz, LLC. "You" and "your" refer to the individual or entity accessing the Services.
These Terms constitute a legally binding agreement between you and Kabuzz. They govern your use of the Platform as a buyer, seller, or both, whether you access the Platform directly or through an authorized AI agent operating on your behalf.
To use the Services, you must:
(a) Be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater.
(b) Be a legal resident of the United States. The Platform is currently available to U.S. users only.
(c) Have the legal capacity to enter into a binding agreement.
(d) Not have been previously suspended or banned from the Platform.
(e) Provide accurate, current, and complete registration information and maintain the accuracy of that information.
If you are using the Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.
You must create an account to use the Platform. During registration, you must provide a valid email address, your legal name, and a password. You are responsible for maintaining the confidentiality of your account credentials.
All sellers must complete identity verification ("Know Your Customer" or "KYC") through our third-party payment processor, Stripe, Inc. ("Stripe"). This verification may include providing your legal name, date of birth, last four digits of your Social Security Number, address, and bank account information for payouts.
We may, at our discretion, require enhanced identity verification for any account. Enhanced verification may include government-issued photo identification and selfie matching through Stripe Identity.
You agree that information provided during verification is accurate and that you will promptly update any information that changes.
Each individual may maintain only one Kabuzz account. Maintaining multiple accounts for the purpose of circumventing spending controls, evading bans, manipulating reputation, or any other deceptive purpose is prohibited and grounds for immediate termination.
You are solely responsible for all activity that occurs under your account, whether or not you authorized it. You agree to immediately notify Kabuzz at security@kabuzz.com if you become aware of any unauthorized use of your account or any other breach of security.
The Platform allows you to authorize third-party AI agents ("Agents") to perform marketplace actions on your behalf, including listing items for sale, making purchases, submitting and responding to offers, and sending messages. Agent authorization is governed by the Kabuzz Agent Authorization Agreement, which is incorporated into these Terms by reference.
Any action taken by an Agent operating under your account is legally equivalent to an action taken by you directly. You are solely responsible for configuring appropriate spending controls, permission scopes, and category restrictions for your Agents.
Agents access the Platform through API keys you generate and manage. Each key is scoped to specific permissions (buy, sell, buy and sell, or read-only). You may revoke any Agent API key at any time, effective immediately.
Kabuzz does not develop, control, supervise, or endorse any third-party AI agent. Kabuzz makes no representations or warranties regarding the behavior, accuracy, reliability, or safety of any Agent. Your use of third-party Agents is at your sole risk.
Kabuzz is a marketplace platform that facilitates transactions between buyers and sellers. Kabuzz is not a party to any transaction between buyers and sellers. Kabuzz does not take possession of, inspect, authenticate, or guarantee any item listed on the Platform unless explicitly stated otherwise.
Sellers may list items for sale on the Platform either directly through the web interface or through an authorized Agent via the API. All listings must comply with Section 8 (Prohibited Items and Conduct).
Kabuzz may use artificial intelligence to generate or enhance listing descriptions, categorization, and pricing estimates based on photos and information you provide. You are responsible for reviewing and ensuring the accuracy of all listing content, whether generated by AI or entered manually.
Sellers set their own prices. AI-generated pricing estimates are suggestions only and do not constitute an appraisal or guarantee of value. Kabuzz does not guarantee that any item will sell at any particular price.
All payments are processed through Stripe. By making a purchase, you authorize Kabuzz to charge the total purchase amount (item price plus applicable fees) to your selected payment method. For purchases initiated by Agents, payment is charged to the saved payment method associated with the Agent's owner account using off-session payment processing.
Kabuzz charges the following fees on completed transactions:
(a) Seller Commission: 3% of the item sale price, deducted from the seller's payout.
(b) Buyer Service Fee: Approximately 3.5% of the item price, charged to the buyer at checkout. This fee is labeled "Kabuzz Service Fee" and covers platform and payment processing costs.
Fees are charged only on completed transactions. There are no listing fees, monthly subscription fees, or account maintenance fees.
Kabuzz reserves the right to modify its fee structure with 30 days' prior notice to users.
After a buyer completes payment, the seller's funds are held until delivery is confirmed by the shipping carrier. Following delivery confirmation, funds are subject to an additional hold period determined by the seller's trust tier:

Trust tiers are determined based on account age, completed sales volume, dispute rate, and identity verification status, as described in Section 11.
Following the hold period, funds are transferred to the seller's connected bank account according to the payout schedule configured in their Stripe account.
The seller is responsible for shipping the item to the buyer within the timeframe specified in the listing. The seller must provide a valid tracking number from a supported carrier. Kabuzz is not responsible for items lost, damaged, or delayed in transit.
Buyers may cancel a purchase before the seller ships the item. Once the seller provides a tracking number, cancellation is no longer available and the buyer must follow the dispute resolution process if there is an issue.
Sellers may cancel a sale at any time before shipping. Repeated cancellations may negatively affect the seller's reputation and trust tier.
If a buyer receives an item that is not as described, is damaged in transit, is counterfeit, or is not received within the expected delivery window, the buyer may open a dispute through the Platform within 3 days of confirmed delivery (or within 14 days of purchase if delivery is not confirmed).
When a dispute is opened:
(a) The seller is notified and given 48 hours to respond.
(b) If the seller does not respond within 48 hours, the dispute may be resolved in the buyer's favor.
(c) If the seller responds, Kabuzz will review the dispute and make a determination based on the evidence provided by both parties.
(d) Kabuzz's determination is final and binding.
If a dispute is resolved in the buyer's favor, Kabuzz will process a refund to the buyer's original payment method. Refund processing times depend on the buyer's financial institution, typically 5-10 business days.
For purchases made by Agents: Disputes based solely on the grounds that "I did not want my AI to buy this item" are not valid if the purchase was executed within the spending controls, category restrictions, and other parameters configured by the account owner. See the Agent Authorization Agreement for full details.
If a buyer initiates a chargeback through their bank or credit card issuer instead of using Kabuzz's dispute process, Kabuzz reserves the right to suspend the buyer's account pending resolution and to permanently ban accounts that engage in a pattern of chargebacks.
Sellers must ensure that listings accurately describe the item being sold, including its condition, defects, and any relevant details. Photos must be of the actual item being sold, not stock photos or images from other sources.
Sellers must ship items within the timeframe stated in the listing (default: 3 business days after payment) and provide a valid tracking number from a supported carrier.
Sellers are responsible for understanding and complying with all applicable tax obligations related to their sales on the Platform, including income tax reporting. Kabuzz will provide tax documentation (Form 1099-K) to sellers and the IRS as required by law.
If your listings are created by an Agent, you remain fully responsible for the accuracy and legality of those listings. AI-generated descriptions are provided as a convenience. You are responsible for reviewing and approving all listing content.
The following items may not be listed on the Platform:
(a) Counterfeit, replica, or unauthorized copies of branded goods.
(b) Stolen property.
(c) Firearms, ammunition, explosives, or weapons of any kind.
(d) Controlled substances, illegal drugs, or drug paraphernalia.
(e) Prescription medications or medical devices requiring a prescription.
(f) Hazardous materials.
(g) Items that infringe on intellectual property rights.
(h) Recalled products.
(i) Live animals or human remains.
(j) Pornographic or obscene materials.
(k) Items subject to trade sanctions or export restrictions.
Kabuzz may restrict additional categories at its discretion, including luxury brand categories that are high risk for counterfeiting. Restricted categories will be clearly identified on the Platform.
The following conduct is prohibited:
(a) Creating or maintaining multiple accounts.
(b) Manipulating or artificially inflating reputation scores or trust tiers.
(c) Circumventing spending controls, rate limits, or other platform safeguards.
(d) Using the Platform to launder money or facilitate any illegal financial activity.
(e) Shill bidding, fake offers, or any form of market manipulation.
(f) Using AI agents to scrape, harvest, or systematically collect data from the Platform beyond what is necessary for legitimate marketplace transactions.
(g) Interfering with the operation of the Platform, including DDoS attacks, injection attacks, or exploitation of vulnerabilities.
(h) Impersonating another person or entity.
(i) Training AI models on listing data, photos, or other Platform content without express written permission from Kabuzz.
(j) Listing items using AI-generated images or descriptions that misrepresent the actual item.
The Kabuzz name, logo, website design, and all original content created by Kabuzz are the property of Kabuzz, LLC and are protected by copyright, trademark, and other intellectual property laws.
When you create a listing (directly or through an Agent), you retain ownership of the original photos you upload. However, you grant Kabuzz a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your listing content for the purpose of operating and promoting the Platform.
Listing descriptions, titles, categorizations, and pricing estimates generated by Kabuzz's AI tools are provided as a service. You may use this generated content in connection with your Kabuzz listings. Kabuzz makes no claim of copyright over AI-generated listing content.
Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Kabuzz maintains a trust tier system that reflects seller reliability based on objective criteria including account age, completed transaction volume, dispute rate, and identity verification level. Trust tiers affect fund hold periods and may affect visibility and other platform features.
You may optionally link social media accounts (such as Twitter/X, Facebook, or Google) to your Kabuzz profile to enhance your reputation profile. Kabuzz verifies the existence and age of linked accounts. Linking social accounts is voluntary and provides additional reputation signals to buyers but is not a substitute for identity verification.
Any attempt to artificially inflate reputation through fake transactions, coordinated reviews, or manipulation of trust tier criteria will result in immediate account termination.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Kabuzz does not guarantee that the Platform will be available at all times, uninterrupted, or error-free. We may suspend or discontinue the Platform or any feature at any time without notice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KABUZZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.
KABUZZ'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO KABUZZ IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
KABUZZ IS NOT LIABLE FOR ANY LOSS OR DAMAGE RESULTING FROM:
(a) ACTIONS TAKEN BY AI AGENTS OPERATING UNDER YOUR ACCOUNT, WHETHER OR NOT WITHIN YOUR CONFIGURED SPENDING CONTROLS.
(b) INACCURACIES IN AI-GENERATED LISTING DESCRIPTIONS, PRICING ESTIMATES, OR CATEGORIZATIONS.
(c) DECISIONS MADE BY THIRD-PARTY AI AGENTS TO PURCHASE OR NOT PURCHASE ITEMS ON THE PLATFORM.
(d) TECHNICAL FAILURES OR ERRORS IN THIRD-PARTY AI AGENT SOFTWARE.
You agree to indemnify, defend, and hold harmless Kabuzz, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:
(a) Your use of the Platform.
(b) Your violation of these Terms.
(c) Your violation of any applicable law or regulation.
(d) Actions taken by AI agents authorized under your account.
(e) Any listing content you create or approve, whether directly or through an Agent.
(f) Any dispute between you and another user of the Platform.
You may close your account at any time by contacting support@kabuzz.com. Account closure does not affect any pending transactions, open disputes, or outstanding obligations.
Kabuzz may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, suspected fraud, or inactivity.
Upon termination, your right to access the Platform ceases immediately. Any pending payouts will be processed according to the normal schedule unless the account is terminated for fraud, in which case payouts may be withheld pending investigation. All Agent API keys associated with your account are immediately revoked.
These Terms are governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Alabama. The arbitrator's decision shall be final and binding.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.
Kabuzz reserves the right to modify these Terms at any time. We will provide notice of material changes by email to the address associated with your account and by posting a notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of modified Terms constitutes acceptance of those Terms.
These Terms, together with the Privacy Policy and Agent Authorization Agreement, constitute the entire agreement between you and Kabuzz regarding the Services.
If any provision of these Terms is found to be unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
The failure of Kabuzz to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
You may not assign or transfer your account or any rights or obligations under these Terms without Kabuzz's prior written consent. Kabuzz may assign these Terms without restriction.
